Terms of Service

1. Acceptance of Terms

By downloading, installing, or using MorningKeep ("the App"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the App.

2. Description of Service

MorningKeep is a personal thinking tool that helps you capture Sparks (quick captures), receive Cue insights, and start each day with a personalized Morning Brief. The App uses on-device storage and Apple CloudKit for synchronization across your devices. Some features can suggest or create Apple Calendar or Reminder items when you grant permission and enable the relevant settings.

3. Your Account

MorningKeep uses Sign in with Apple for authentication. You are responsible for maintaining the security of your Apple ID and for all activity that occurs under your account.

4. Your Content

• Ownership: You retain full ownership of all Sparks and content you create in MorningKeep.
• Storage: Your content is stored on your device and in your personal iCloud account via CloudKit. We do not maintain copies on our own servers.
• AI processing: When you interact with Cue, your content is processed through the Google Gemini API or configured fallback providers to generate responses and insights. Provider processing follows the applicable API terms and your in-app AI consent setting.

5. Subscriptions and Payments

• Rise (Free): Basic features available at no cost.
• Dawn: Advanced features including unlimited Cue conversations, full Morning Brief, and enhanced pattern detection. Billed through the App Store.
• Billing:All payments are processed by Apple. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. Manage subscriptions in your device's Settings > Apple ID > Subscriptions.

6. Acceptable Use

MorningKeep is designed for private Spark capture and personal clarity. You agree not to use the App to store or transmit content that is unlawful, harmful, threatening, abusive, or otherwise objectionable. You may not attempt to reverse-engineer, decompile, or disassemble any part of the App.

7. Disclaimers

• The App is provided "as is" without warranties of any kind, express or implied.
• AI-generated insights from Cue are informational and should not be treated as professional advice (medical, legal, financial, or otherwise). You are responsible for reviewing suggested actions before relying on them.
• We do not guarantee uninterrupted or error-free operation of the App.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Mabry Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the App.

9. Changes to Terms

We may update these terms from time to time. We will notify you of material changes through the App or by updating the "Last updated" date above. Continued use of the App after changes constitutes acceptance of the revised terms.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles.
